1. Activity of the Company
The Company acts as a placement agent and fund distribution intermediary. The Company introduces and presents investment funds to qualified investors in Switzerland and, where legally applicable, in other jurisdictions. The Company does not make investment decisions for the funds it represents, does not hold or safeguard client assets, and does not execute transactions in financial instruments. All investment and portfolio management decisions rest exclusively with the relevant external fund managers.
The Company's activities constitute the provision of distribution and third-party introduction services within the meaning of the Swiss Financial Services Act (FinSA / FIDLEG).
2. Regulatory Status and Register of Advisors
The Company operates in accordance with applicable Swiss financial market legislation. Pursuant to Article 28 FinSA, all client-facing advisors of the Company are registered in the advisor register of BX Swiss AG, Talacker 50, CH-8001 Zurich.

3. Ombudsman and Complaint Management
The Company is affiliated with the Ombudsman for Financial Services (OFD), Bleicherweg 10, 8002 Zurich in accordance with Art. 74ff. FinSA requirements (see Section 3 below). Further regulatory information is available upon written request.
Any complaints may be submitted in writing to the address of the Ombudsman or by email to info@21capitaladvisors.com. The Company will examine all complaints promptly and respond within twenty (20) working days.
For unresolved complaints, clients may initiate a mediation procedure through the Ombudsman.

The Company does not engage with private clients within the meaning of Article 4 FinSA. The Company's clients are exclusively professional and institutional clients, and qualified investors under CISA.
Pursuant to Article 4 para. 3 FinSA, professional clients include: financial intermediaries under the Banking Act, FinIA, and CISA; insurance companies; foreign clients under equivalent prudential supervision; central banks; public entities with professional treasury operations; occupational pension schemes with professional treasury operations; companies with professional treasury operations; large companies; and private investment structures with professional treasury operations created for high-net-worth retail clients.

9. Conflicts of Interest
As a placement agent acting on behalf of third-party fund managers, the Company receives remuneration from those managers in connection with its distribution activities. This creates an inherent interest in the successful fundraising of the funds presented. This potential conflict is disclosed to all clients and counterparties. Where a conflict of interest proves unavoidable in a specific situation, it will be disclosed to the affected client without delay.
